SECTION 1.2

Description of the concentration

GSO Capital Partners LP together with its affiliates (“GSO”) is solely controlled by The Blackstone Group L.P.; The Miller Group Ltd (“Miller Group”) is primarily active in the UK in house building, property development, construction and mining.

Pursuant to transaction documents entered into between, inter alia, GSO and the Miller Group, one or more funds managed by GSO will collectively acquire sole control of the Miller Group.
