The Commission received a notification (19) of a Proposed Transaction pursuant to Article 4 of the Council Regulation (EC) No 139/ 2004, by which BASF SE (“BASF”) and Clayton, Dubilier & Rice (“CD&R”) will acquire joint control over a newly-formed joint venture that combines Solenis LLC and its affiliates (collectively “Solenis”), a CD&R portfolio company, with BASF's global paper and water chemicals business (the “DOM Business”). Currently, Solenis is solely-controlled by CD&R, and the DOM Business is solely-controlled by BASF.
The business activities of the undertakings concerned are:
− BASF SE is a publicly traded company headquartered in Germany. BASF SE is listed on the German Stock Exchange in Frankfurt, the London Stock Exchange in London and the Swiss Stock Exchange in Zurich.
− The DOM Business is comprised of BASF's global business in developing, manufacturing, marketing and selling wet-end paper chemicals and water treatment chemicals.
− CD&R, based in the USA, is a private equity investment firm which originates, structures and frequently acts as lead equity investor in management buyouts, strategic minority equity investments and other strategic investments.
− Solenis is a specialty chemical company and provider of process and water solutions. The company's product portfolio includes process aids, water treatment chemistries, functional additives, and monitoring and control systems. Solenis is headquartered in Delaware, USA.
