SECTION 1.2

Description of the concentration

Caisse de dépôt et placement du Québec ("CDPQ") and GE Capital Aviation Services Limited ("GECAS", part of the GE group) provide notification pursuant to pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the Merger Regulation) that they have agreed to create a USD 2-billion global aircraft financing platform (the "JV").

CDPQ and GECAS will acquire joint control of the JV within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation, by way of purchase of shares in a newly created company constituting a joint venture and through their rights and responsibilities vis-à-vis the JV. For the purposes of the Merger Regulation, the JV will be a newly created full function joint venture.

The group business activities of the undertakings concerned are:

• CDPQ is an institutional investor which manages funds primarily for public and para-public pension and insurance plans. As one of Canada's leading institutional fund managers, CDPQ invests in major financial markets, private equity, infrastructure and real estate, globally.

• GE – broad and diversified range of activities, including GECAS which is active in the global commercial aircraft leasing and financial industry. Its product offerings include leases and sales of and secured loans on commercial passenger aircraft, freighters and regional jets, helicopter leasing and financing services, engine leasing and financing services, aircraft parts solutions, and airport and airline consulting services.

• The JV – the acquisition and leasing of aircraft.
