The present transaction concerns the creation of a joint venture, MONET Technologies Corporation (“the JV”) jointly controlled by SoftBank Corp., a subsidiary of SoftBank Group Corp., and Toyota Motor Corporation, by way of purchase of shares in a newly created company. The JV will perform on a lasting basis all the functions of an autonomous economic entity and, therefore, its creation amounts to a concentration, within the meaning of Article 3(4) of the Merger Regulation. The JV will be established in Japan and is not expected to be active in the EEA within the foreseeable future.
SoftBank Group is headquartered in Tokyo, Japan and is the parent company of a global portfolio of subsidiaries and affiliates involved in advanced telecommunications, internet services, Internet of Things, robotics and clean energy technology providers.
Toyota Motor Corporation is a listed Japanese automotive company engaged primarily in the design, manufacture, assembly and sale of passenger vehicles, minivans, commercial vehicles, related parts and accessories.
In a first phase, the JV will develop and commercialise software platforms aimed at providing on demand transportation services operated by bus or taxi, alongside public transport, in Japan. These on demand transportation software platforms will be provided to local governments and businesses in Japan in order to supply transportation services to underserved areas, both in terms of geography or with regard to the nature of services rendered (for instance, B2B shuttle services), in Japan.
At a later stage, the JV will use the software platforms it develops to supply mobility services using autonomous vehicles.
