SECTION 1.2

Description of the concentration

This notification concerns a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 by which the undertaking The Carphone Warehouse Group PLC ("CPW", UK), via its UK subsidiary, TalkTalk Group Limited, acquires within the meaning of Article 3(1)(b) of the Council Regulation control of Tiscali UK Limited and its subsidiaries ("Tiscali UK"). Tiscali UK comprises substantively all of the UK internet access (broadband and narrowband/dial-up), telephony and digital TV business of Tiscali SpA.

The parties consider that, regardless of the frame of reference adopted, the proposed concentration should not significantly impede effective competition in the common market, or in a substantial part of it, whether by means of creating or strengthening a dominant position or otherwise.

The principal business activities of the undertakings concerned are:

• For undertaking CPW: mobile communications retailing and the provision of internet access and voice telephony services.

• For the undertakings comprising Tiscali UK: the provision of internet access, voice telephony and digital TV services in the UK.
