SECTION 1.2

Description of the concentration

Krone Commercial Vehicle SE and Bernard Krone Familienstiftung both incorporated in Germany and ultimately controlled by Mr Bernard Krone (all together including all affiliates "Krone Group") intend to acquire sole control within the meaning of Article 3(1)(b) of the EU Merger Regulation by way of purchase of shares in Schwarzmüller Management & Service GmbH ("SMMS") and shares in Wilhelm Schwarzmüller GmbH & Co. KG Anhänger- und Karosseriefabrik (jointly and together with all affiliates "Schwarzmüller Group").

Krone Group and Schwarzmüller Group are mainly active in the production and sale of street transport equipment, including trailers, semitrailers and fixed body constructions and to lesser extent also in the provision of rental/operating leasing service for street transport equipment as well as the sale of used street transport equipment and the supply of spare parts and the provision of repair services. Both groups mainly operate in Europe.
