SECTION 1.2
SCA Forest Products AB (SCA Forest, Sweden), controlled by Svenska Cellulosa AB SCA (publ) (SCA, Sweden), intends to acquire sole control over the business activities of J‰mtlamell Industri AB (J‰mtlamell, Sweden).
The acquisition will be carried out through interrelated asset transfers whereby J‰mtlamellís saw mill, bioenergy plant and agreements on felling (timber) rights, including personnel, tools and equipment, customer information, and other intangible rights necessary to continue the businesses will be transferred into the sole control of SCA Forest.
SCA is a global consumer goods and paper company group that develops, produces and markets personal care products, packaging solutions, publication papers and solid-wood products throughout the world. SCA Forest is responsible i.a. for the groupís forest management, wood procurement, saw mill and forest based biofuel operations.
J‰mtlamell is a very small company with an annual world-wide turnover in 2005 of only around Ä 41 million (as comparison SCAís world-wide annual turnover in 2005 was around Ä 10,398 million). J‰mtlamellís business activities are limited to the production of sawn timber and forest based biofuel at its saw mill and bioenergy plant located in Stugun, J‰mtland, in Northern Sweden. For these purposes it procures wood. It (re)sells limited volumes of pulpwood. The sawn timber is sold in Sweden and abroad whereas the forest based biofuel and pulpwood are sold in Sweden only.
The notified transaction primarily concerns procurement of wood, sale of sawn timber and sale of forest based biofuel.
