SECTION 1.2

Description of the concentration

The European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 by which TotalEnergies and RNS Holding intend to acquire joint control over RNS Enerji, which is currently solely owned by RNS Holding, within the meaning of within the meaning of Article 3(1)(b) and 3(4) of the EU Merger Regulation.

The business activities of the undertakings concerned are:

-- TotalEnergies, headquarted in Courbevoie, France, is a vertically integrated international energy company. TotalEnergies is involved in all sectors of the oil and gas industry, including upstream (exploration, development and production of hydrocarbons) and downstream (refining, petrochemicals, specialty chemicals, crude oil and petroleum products trading and marketing). TotalEnergies is also active in renewable energies, power generation and carbon neutral activities (energy efficiency, carbon use and storage, hydrogen and natural solutions). -- RNS Holding, headquarted in Ankara, Turkey, is an international organization acting as the main contractor and investor in construction, real estate, health, energy and petrochemistry. In Europe, RNS Holding is mostly active in the Netherlands.

-- The Target is headquarted in Ankara, Turkey. The Target’s main activities (including its affiliates and subsidiary) are to build, commission, take over, lease, rent out all kinds of plants in order to generate electricity; sell the generated electricity and/or capacity to legal entities holding wholesale licences, legal entities holding retail licences and eligible consumers through bilateral agreements. The Target’s affiliate are also engaged in the generation of electrical energy, wholesale or retail sale of the generated electrical energy, trade of electrical energy and/or capacity, building of service units to serve companies engaged in other activities related to the generation, distribution, retail and wholesale of electrical energy, maintenance and operation services of technical infrastructure and systems for the electrical energy sector and the establishment and in establishing and operating charging stations, and in providing charging services. The Target is almost exclusively active in Turkey.
