SECTION 1.2

Description of the concentration

OJSC Unimilk Company, a Russian company controlled by the Danone group, and NDL International, a French company controlled by the Norbert Dentressangle group, are notifying the creation of a full function joint venture to the Commission. OJSC Unimilk Company is incorporated in Russia, where it produces and sells milk and dairy products. NDL International is a holding company with participations in the area of logistics services.

The joint venture will take the form of two companies incorporated in the Netherlands and in Russia, to which OJSC Unimilk Company will contribute an existing logistics and distribution activity located in Russia and Norbert Dentressangle will contribute know-how relating to logistics and distribution services.

The joint-venture will be exclusively active in the sector of logistics and distribution services of chilled food and beverage products products in Russia. It will not have any activities within the EEA territory.
