SECTION 1.2

Description of the concentration

(1) On 24 January 2020, the European Commission received a notification for a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004, by which Aperam and Tekna, will create a new jointly controlled full-function joint-venture named ImphyTek Powders.

(2) The business activities of the undertakings concerned are the following:

• Aperam S.A. is a global player in stainless, electrical and specialty alloys steel, with customers in over 40 countries. It is headquartered in Luxembourg.

Aperam is the subsidiary of Aperam S.A. in charge of the Alloys & Specialities.

• Tekna is a world leader in induction plasma technology. The company manufactures atomisers and peripheral equipment to produce metallic powders to meet all the requirements from the different customers. Tekna is a Canadian company that is part of the Arendals Fossekompani ASA group, that is an industrial investment company that invests in energy and technology related companies with an international market potential. It is also a producer of hydro power, a property developer and a financial investor.

• ImphyTek Powders will produce and commercialise Ni alloys powders at a worldwide level.
