SECTION 1.2

Description of the concentration

1.On 3 July 2020, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 concerning the establishment of a joint venture for insurance management services. The joint venture will in particular render services to medical malpractice insurers in the field of claims management, through the extraction and processing of medical data as well as medical evaluation services. The JV will also develop medical malpractice bodily injury claims risks analysis and scoring models. The joint venture will be formed through the subscription by ACTINEO GmbH (ACTINEO) of 60% of the enlarged share capital in and joint control over ANTEVIS SAS (ANTEVIS), currently wholly-owned by Société Hospitalière d'Assurances Mutuelles (SHAM).

The business activities of the undertakings concerned are:

(a) for SHAM: non-life insurance, in particular medical malpractice insurance;

(b) for ACTINEO: services in holistic personal injury insurance management.
