SECTION 4

Description of the concentration

Renault SA ("Renault"), France, via its wholly owned affiliated company Mobilize Lease&Co. SAS, France, intends to acquire from MeinAuto Management GmbH, which is ultimately owned by the limited partnerships comprising Hg Genesis 8, 100% of the shares in (i) Mobility Concept GmbH ("Mobility Concept"), Germany, (ii) DFD Deutscher Fahrzeugdienst GmbH ("DFD"), Germany, and (iii) MS Mobility Solutions GmbH ("MS Mobility", together with Mobility Concept and DFD "MeinAuto-Group"), Germany. Mobility Concept owns 100% of the shares in MeinAuto GmbH ("MeinAuto").

As a result of the transaction Renault will acquire sole control over Mobility Concept, DFD and MS Mobility within the meaning of Articles 3 (1) (b) of the EU Merger Regulation.

The Renault Group is active in 135 countries across the following operating activities:

• Automotive, with the design, manufacture and distribution of products through its distribution network (including the Renault Retail Group subsidiary)

o new vehicles, with several ranges (including passenger cars (PC), and light commercial vehicles (LCV) marketed under four brands: Renault, Dacia,Alpine and Mobilize

o used vehicle and spare parts, and

o Renault Powertrain Business

• Sales Financing (RCI Bank and Services and its subsidiaries): sales financing, leasing, maintenance and service contracts;

o Mobilize Lease&Co S.A.S., Paris, France is wholly owned by RCI Banque, and mainly active in the fields of offering operating leases and fleet management. However, Mobilize Lease&Co S.A.S. does not offer fleet management services in Germany.

• Mobility Services (Mobilize brand): flexible, sustainable, and innovative mobility and energy solutions for the benefit of electric vehicle users.

In addition to the abovementioned activities, the Renault Group currently has sole control over Nissan.

MeinAuto-Group is a vehicle leasing company that provides its services directly to (i) B2C customers via its own platform “MeinAuto.de” (e.g., operational leasing and car abonnement) and (ii) to B2B customers via its Mobility Concept brand (e.g., operational leasing and fleet management). As part of this business model, MeinAuto-Group disposes its leasing returns

through the sale of used cars. In addition, MeinAuto-Group offers intermediation services (i.e. brokering services) between car dealers and B2C customers who seek to purchase a vehicle.
