Description of the concentration

The transaction concerns the proposed acquisition of sole control within the meaning of Article (3)(1)(b) of the Council Regulation (EC) No 139/2004 of 20 January 2004 (the “EUMR”) by an indirect subsidiary of a fund managed by One Rock Capital Partners, LLC (“ORC”), a private equity firm, over Snacks Développement SAS (“Europe Snacks”), which is currently solely controlled by funds managed by affiliates of Seven2.

An overview of the Parties’ activities is as follows:

• ORC is a private equity firm headquartered in New York, United States, and focusing on control-stake equity investments in middle-market companies. ORC manages funds that invest in portfolio companies operating within various industries, including Chemicals & Process Industries, Food & Beverage Manufacturing & Distribution, Specialty Manufacturing, and Business & Environmental Services.

• Europe Snacks is a company headquartered in France, that provides private label and co-manufacturing of savoury snacks (crisps, crackers, popcorn, etc.) in Europe, mainly in France, the UK and Spain.
