Description of the concentration

The Transaction concerns the acquisition of 25% of the share capital and thereby joint control over Cotra Co., Ltd., a joint venture which will be established in Japan, by Mitsubishi UFJ Financial Group, Inc. via its wholly owned subsidiary MUFG Bank, Ltd.; Sumimoto Mitsui Financial Group, Inc. via its wholly owned subsidiary Sumimoto Mitsui Banking Corporation; Mizuho Financial Group, Inc. via its wholly owned subsidiary Mizuho Bank, Ltd.; and Resona Holdings, Inc. via its two wholly joint venture will develop and set up a new alternative electronic payments infrastructure exclusively in Japan, aimed mainly at small money transactions among and between individuals.
