SECTION 1.2

Description of the concentration

This notification relates to the proposed acquisition of joint control of Hypion Motion Neuműnster GmbH & Co. KG ("Target"), a newly created company constituting a joint venture, by HAzwei 3. Beteiligungsgesellschaft mbH, a member of the E.ON Group and EDF Deutschland GmbH, a member of the EDF-Group (both HAzwei 3. Beteiligungsgesellschaft mbH and EDF Deutschland GmbH hereafter referred to as the "Acquirers"), by way of purchase of shares. Currently, the Target is not conducting any relevant business activity and belongs to the IPP-Group (the Target and the Acquirers referred to as the "Parties").

Through the Target the Acquirers intend to operate a hydrogen refuelling station in Neuműnster, Northern Germany, selling hydrogen to, in particular, logistic companies which convert their truck fleets accordingly. In the long run, it is the aim of the Target to provide its customers with low carbon hydrogen, thus contributing to the green transformation of the entire mobility sector.

The business activities of the Parties are as follows:

-- The Target is intended to operate a hydrogen refuelling station in Neuműnster, Northern Germany.

-- HAzwei 3. Beteiligungsgesellschaft mbH holds equity interests for HAzwei GmbH, the latter being active in the development of projects concerning hydrogen. E.ON operates energy networks and offers customer solutions, including electricity and gas retail supply.

-- EDF Deutschland GmbH and its parent company, EDF S.A., are active in the energy utility business, in particular in the production, wholesale, transmission and distribution and supply of electricity.
