SECTION 1.2

Description of the concentration

(1) On 26 February 2016, the Commission received a notification of a proposed concentration pursuant to Article 4 of the EU Merger Regulation by which Newell Rubbermaid Inc. acquired control over Jarden Corporation, by way of purchase and exchange of shares.

(2) Both parties to the concentration are Delaware corporations publicly listed on the New York Stock Exchange. Both parties are global manufacturers and marketers of consumer and commercial products.
