(“Brother”) will acquire within the meaning of Article 3(3) of the Merger Regulation sole control of Domino Printing Sciences plc (“Domino”) by way of a public offer. The principal business activities of the undertakings concerned are:

It manufactures and sells printing equipment such as laser and inkjet printers, fax machines, electronic stationery, typewriters, label makers and scanners primarily for use in a home or office environment. It also manufactures and sells home sewing machines, industrial sewing machines/machine tools, and online karaoke systems and related content. Its principal sales are in the manufacture and sale of printing equipment. Brother is listed on the Tokyo and Nagoya Stock Exchanges.
(3)Domino is a manufacturer and supplier of industrial equipment used for printing, coding, and marking, incorporated in England and Wales. Domino manufactures and supplies specialist printing, coding, and marking technologies for industrial use. Its products are used for date coding, product marking, serialisation and printing of other variable information onto products including food and beverages, pharmaceuticals and electronic components. Domino is listed on the FTSE 250 share index on the London Stock Exchange.
