SECTION 1.2
Description of the concentration
1.On 4 September 2019, the Commission received the notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 of20 January 2004 on the control of concentrations of undertakings ("EUMR") by which funds managed or advised by Equistone Partners Europe Limited ("Equistone") and Omnicare Holding GmbH & Co. KG ("OCH") intend to acquire, within the meaning of Article 3(1)(b) of the EUMR, joint control of Omnicare Beteiligungen GmbH ("Omnicare").
2.Equistone is a mid-market private equity investment firm. Equistone is incorporated in the UK and operates across the UK, France, Germany and Switzerland, and focuses on supporting middle market companies by investing as a strategic partner alongside management teams.
3.OCH is the holding company ultimately controlled by Mr. Oliver Tamimi.
4.Omnicare is a distributor of oncological pharmaceutical products. In addition, Omnicare offers related services and activities such as quality audits, hygiene monitoring, and the development and distribution of software. Omnicare also holds minority investments in outpatient oncological medical centers as well as a majority shareholding in such a medical center and operates Dr. Romer Kliniken, clinics that treat patients with mental and psychosomatic disorders and diseases (psychosomatics, psychotherapy, psychiatry).
