SECTION 1.2

Description of the concentration

The proposed concentration consists in the establishment of a full-function joint venture within the meaning of Article 3(4) of the EU Merger Regulation by Adient plc ("Adient") and The Boeing Company ("Boeing").

Adient is the former automotive seating business of Johnson Controls. It designs, manufactures and markets a full range of seating systems and components for passenger cars, commercial vehicles and light trucks.

Boeing is an aerospace and defence company. It designs, manufactures and markets commercial jetliners and defence, space and security systems, and is a provider of aftermarket services for the aerospace market.

The joint venture will design, develop, manufacture and sell seats for commercial aircraft.

The creation of the joint venture is pro-competitive since it will lead to the market entry of a new competitor.
