SECTION 1.2

Description of the concentration

On 2 October 2015, the European Commission (the “Commission”) received notification

of a proposed concentration pursuant to Article 4 of the EU Merger Regulation by which

Delphi Automotive PLC (“Delphi”) would acquire sole control over HellermannTyton

Group PLC (“HellermannTyton”) within the meaning of Article 3(1)(b) of the EU Merger

Regulation.

Delphi is a global vehicle components manufacturer headquartered in Gillingham, Kent,

UK. Delphi’s activities are carried out through three operating segments, namely

“Electrical/Electronic Architecture”, “Powertrain Systems” and “Electronics and Safety”.

HellermannTyton is a global manufacturer and supplier of cable management solutions

(“CMS”), which encompass a variety of products for fixing, identifying and protecting

cables and their connecting components. HellermannTyton’s CMS products can be

categorised into five main categories based on the cable management function of the

product, namely fixings, insulation and protection, network connectivity, identification and

installer solutions.
