SECTION 1.2

Description of the concentration

The proposed concentration involves the acquisition of joint control of Enel Green Power Australia Pty Ltd and the Enel Green Power Australia Trust (together the “Target Business”) by INPEX Corporation ("INPEX") through one of its controlled entities and Enel Green Power S.p.A ("EGP"). The Target Business is currently solely and directly controlled by EGP, which in its turn is part of Enel Group, being a subsidiary of Enel S.p.A.

INPEX is an exploration and production company headquartered in Tokyo, Japan. It engages in research, exploration, development, production and sales of oil, natural gas, other mineral resources and other related businesses, and investment and lending to companies engaged in these activities.

EGP is the renewable arm of Enel Group, headquartered in Rome. EGP operates worldwide (directly or through its subsidiaries) the production and selling of energy from renewable sources. EGP playing a key role in the energy transition as one of the world’s leading renewable energy companies.

The Target Business is engaged in investing in renewable energy projects, providing an end-to-end renewables platform that develops and operates projects, and energy retail and trading, in each case in Australia.
