SECTION 1.2
Description of the concentration
1.1. The Proposed Transaction concerns the acquisition of sole control by an affiliate of One Rock Capital Partners, LLC (“ORC” or “Buyer”) over Prefere Resins Holding GmbH (“Prefere Resins” or “Target”) from Silverfleet Capital LLC (“Silverfleet” or “Seller”) (together with ORC, the “Parties”), pursuant to a sale and purchase agreement signed on 11 April 2022 (“Proposed Transaction”), leading to a concentration within the meaning of Article 3(1)(b) of the EUMR.
• ORC is a private equity firm focusing on control-stake equity investments in North American middle-market companies. ORC manages funds that invest in portfolio companies operating within various industries, including chemicals and process, specialty manufacturing and healthcare, food manufacturing and distribution, and business and environmental services.
• Silverfleet is a capital investment company, which especially invests in midsize companies. Silverfleet especially invests in companies in the fields of business and financial services, health care, leisure activities, and retail.
• Prefere Resins is a Germany-based company mainly focused on the development, manufacture and sale of synthetic resins across the EMEA and Americas for a variety of end markets such as construction, insulation, industrial, automotive and flooring and furniture. To a lesser extent, Prefere Resins also produces and sells (Para)Formaldehyde and Methanol derivatives.
