− On 13 November 2017, the European Commission received the notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 (“EUMR”). Chiyoda Generating Europe Limited (“CGE”), EDP Renewables, SGPS, S.A. (“EDPR”), TrustWind, BV (“TrustWind”), Diamond Generating Europe Limited (“DGE”) and Repsol Nuevas Energías S.A. (“Repsol”) (together, the “Parties”) jointly control a non full-function joint venture, Windplus, S.A. (the “Windplus”), which intends to become full-functional within the meaning of the EUMR.
− CGE is a wholly-owned subsidiary of Chiyoda Corporation which is a major affiliated company of Mitsubishi Corporation (“Mitsubishi”). Chiyoda Corporation is a Japanese engineering company active in the field of energy, chemicals, petrochemicals, pharmaceuticals, environmental technology, social infrastructure and industrial facilities. CGE functions as Chiyoda Corporation’s power generation business in Europe. The company was incorporated in 2015 and is based in London.
− EDPR is a subsidiary of the EDP – Energias de Portugal, S.A. group which is a vertically integrated utility company active in the generation, distribution and supply of electricity in Portugal. EDPR is active in the field of generation of green energy through the development, construction and operation of onshore and offshore wind farms and photovoltaic power stations.
− TrustWind is a wholly-owned subsidiary of TrustEnergy, a joint venture between Engie S.A. (“Engie”) and Marubeni Corporation (“Marubeni”), active in the field of electricity generation by exploiting a diverse portfolio of energy sources. Engie is a global energy player and an expert operator in the three key sectors of electricity, natural gas and energy services. TrustWind is responsible for managing a set of twelve wind farms, scattered from the north to the south of the country. Marubeni is a major Japanese integrated trading and investment business conglomerate that handles products and provides services that extend, inter alia, to power projects and infrastructure, plants and industrial machinery, finance, logistics and information industry, and real estate development and construction.
− DGE is a wholly-owned subsidiary of Mitsubishi. Mitsubishi is a global integrated business enterprise that develops and operates businesses across virtually every industry, including industrial finance, energy, metals, machinery, chemicals, and daily living essentials. − Repsol is a subsidiary solely controlled by Repsol, S.A. which is an integrated energy company active in the oil and gas industry. Repsol is developing a business related to renewable energy and is committed to playing a role in the development of the offshore wind sector and is headquartered in Madrid, Spain.
− Windplus will be active in the generation and wholesale supply of electricity in Portugal through an offshore wind farm using an innovative floating technology.
