SECTION 1.2

Description of the concentration

1.On 17 November 2010, the Commission received a notification of a proposed concentration pursuant to Article 4 of council Regulation (EC) No 139/2004 (“Merger Regulation”) by which AXA Investment Managers Private Equity Europe S.A. (“AXA Private Equity”), through its investment fund AXA LBO Fund IV, and CIR S.p.A. – Compagnie Industriali Riunite (“CIR”) will acquire, within the meaning of Article 3(1)(b) of the Council Regulation, joint control over the undertaking KOS S.p.A. (“KOS”) by way of purchase of shares and capital increases.

The business activities of the undertakings concerned are:

Private Equity fund.

Energy, media, healthcare, automotive components and financial services.

Healthcare services.
