On 17 February 2021, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 involving the acquisition by Nexus Infrastructure and Proximus NV of joint control within the meaning of Articles 3(1)(b) and 3(4) of the said Regulation over a newly to be created joint venture.
The business activities of the undertakings concerned are:
• Nexus Infrastructure is a company incorporated in Luxembourg for purposes of the Notified Transaction, that is part of the EQT group of funds and indirectly controlled by EQT Fund Management S.à r.l. Nexus Infrastructure is a special purpose vehicle with no other current business activities than its use as a holding company for purposes of the Notified Transaction.
• EQT is a global integrated alternative investments firm, which amongst other things, invests in infrastructure and infrastructure-related assets and businesses primarily in Europe and North America.
• Proximus limited public company NV (headquartered in Belgium) is an operator of fixed and mobile electronic communication services and networks for residential and business customers in Belgium operating both at the retail and wholesale level in Belgium.
• The joint venture (with envisaged headquarters in Belgium) will roll-out and operate a dense passive open point-to-point Fiber-To-The-X (“FTTx”) network in certain parts of the Flanders Region of Belgium and offer access services to its network infrastructure to telecommunication operators.
