SECTION 1.2

Description of the concentration

1.On 22 March 2019, the Commission received notification of a proposed concentration, within the meaning of Article 4 of Council Regulation (EC) No 139/2004 of 20 January 2004, pursuant to which Ansaldo Energia (Ansaldo) and REP Holding (REPH) will create a joint venture, REPH Ansaldo Gas Turbine which will be primarily active in the Russian Federation and the Commonwealth Independent States (CIS) (the Proposed Transaction).

2.Ansaldo group is a company active internationally in the sector for power generation systems and components which supplies turbines, generators, turnkey power plants as well as engineering services for nuclear power plants.

3.REPH group is a Russian power machine building, a designer, manufacturer and provider of package supplies of power and electrical equipment for oil & gas, metallurgical and chemical industries, power generation and distribution facilities.

4.The joint venture will be established in order to become a provider of localised products and service management and develop a customer base in the Russian Federation and the CIS and maximise financial returns.
