SECTION 1.2

Description of the concentration

The notified concentration involves the acquisition of joint control by OMERS Infrastructure European Holdings 2 B.V. (“OMERS Infrastructure”) and APG Asset Management N.V. on behalf of the APG Infrastructure Pool 2020-2021 (“APG”) over Groendus Groep B.V. (“Groendus”). The transaction constitutes a notifiable concentration under Article 3(1)(b) of the European Merger Regulation.

• OMERS Infrastructure is the European infrastructure investment platform for OMERS Administration Corporation (“OMERS”). OMERS is the administrator of the Ontario Municipal Employees Retirement System Primary Pension Plan, providing retirement benefits for municipal employees in the Province of Ontario, Canada.

• APG invests and manages the investment capital for over 4.7 million Dutch pension participants, including for participants in public services, educational institutions, public utilities, and the defence sector.

• Groendus provides services to enterprise customers in the Netherlands to assist with the transition to sustainable energy consumption.
