SECTION 1.2
Description of the concentration
The proposed concentration involves the acquisition of indirect sole control by certain funds controlled by Bain Capital Investors, LLC (“Bain Capital Investors”) of IMCD Holding B.V. and its subsidiaries (“IMCD”). IMCD is currently indirectly solely controlled by AAC Capital Partners. As a result of the proposed transaction, Bain Capital Investors will acquire the entire share capital of IMCD.
The activities of the Parties are as follows:
• Bain Capital Investors: private equity investment firm; and
• IMCD: distribution of speciality chemicals.
