The notified concentration consists of the acquisition by Parkwind, Aspiravi Offshore and Summit Renewable Energy Northwind (“Summit”) of joint control over Northwind. Northwind is currently jointly controlled by Parkwind and Aspiravi Offshore.
Parkwind is an investment and development vehicle of the Korys/Colruyt Group and PMV. Parkwind currently holds stakes in two offshore wind farm operators, Belwind and Northwind.
Korys is the investment vehicle of the Colruyt family and stands at the head of the Korys/Colruyt Group. The principal activity of that group is retail of daily consumer goods, but it also has other activities, e.g. the retail sale of motor vehicle fuel.
PMV is an independent investment company controlled by the Flemish regional government.
Aspiravi Offshore is a subsidiary of Aspiravi Holding. The latter also has sole control over Aspiravi Offshore II and joint control over Aspiravi.
Aspiravi Offshore’s only current activity is the holding of a stake in Northwind.
Aspiravi Offshore II holds jointly controlling minority stakes in Rentel, Seastar, Mermaid and Otary RS. Rentel, Seastar and Mermaid each hold a domain concession for an offshore wind farm in the Belgian Exclusive Economic Zone in the North Sea. Otary RS is a knowledge centre set up by the various stakeholders active in the Belgian offshore wind industry. It also holds stakes in Mermaid, Rentel and Seastar.
Aspiravi is a renewable energy producer. As of 31 December 2013 it was involved in the management of 109 wind turbines, 1 biomass plant, 4 biogas engines and 2 small hydropower plants throughout Belgium (204 MW) and in Curaçao (30 MW).
Aspiravi Holding is jointly controlled by Nuhma and EFIN, two holding companies of which the shareholders are Belgian municipalities. Nuhma and EFIN hold stakes in various companies active in the energy sector.
Summit Renewable Energy Northwind was set up as an SPV for the purposes of the proposed transaction and is a wholly owned indirect subsidiary of Sumitomo Corporation.
