SECTION 1.2
Description of the concentration
2.1. On 29 September 2016, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (3) by which the undertakings Axcel IV K/S, Axcel IV K/S 2, Ax Management Invest II K/S and Ax Management Invest K/S through AX IV HoldCo P/S (jointly referred to as "Axcel IV", Denmark), PFA Pension, Forsikringsaktieselskab ("PFA", Denmark) and the three PKA pension funds Pensionskassen for Sundhedsfaglige (The Health Care Professionals’ Pension Fund), Pensionskassen for Sygeplejersker og Lægesekretærer (The State Registered Nurses’ and Medical Secretaries’ Pension Fund) and Pensionskassen for Socialrådgivere, Socialpædagoger og Kontorpersonale (The Social Workers’, Social Pedagogues’ and Office Staffs’ Pension Fund) (jointly referred to as the "PKA Funds", Denmark) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of Danmarks Skibskredit A/S (Danish Ship Finance A/S ("DSF", Denmark)) by way of purchase of shares.
2. The business activities of the undertakings concerned are:
-- for Axcel IV: Private equity firm investing primarily in medium-sized Nordic companies.
-- for PFA: Provides pensions and life insurances; invests pension monies.
-- for the PKA Funds: Providers of pensions and life insurance; invest pension monies.
-- for DSF: Provides ship financing to Danish and non-Danish shipping companies.
