SECTION 1.2
Description of the concentration
On 14 January 2021, the Commission received a notification of a proposed concentration within the meaning of Article 3(1)(b) and Article 3(4) of the Merger Regulation, whereby (i) FSN Capital GP VI Limited acting in its capacity as general partner for and on behalf of each of FSN Capital VI Invest Limited Partnership and FSN Capital VI Limited Partnership and (ii) Obton Invest A/S of joint control over Rhea TopCo ApS, a special purpose vehicle which will be the ultimate holding company of Obton Group Holding A/S ("Obton Group").
Obton Group is a Danish company active in the provision of alternative investment opportunities in photovoltaic solar projects and real estate properties to high net-worth individuals.
Obton Invest A/S is a Danish company with the sole activity of holding shares in Obton Group.
FSN Capital VI is one of four active Northern European investment funds belonging to the "family" of FSN Capital funds which comprises FSN Capital VI, FSN Capital III Limited Partnership, FSN Capital IV Limited Partnership, and FSN Capital V Limited Partnership. FSN Capital is active within private equity investment (i.e. investment in unquoted companies with the potential to transform into more competitive, international and profitable entities) in various industries typically based in Northern Europe, and provides investment opportunities to high quality institutional investors, i.e. Nordic institutions, pension funds, endowments, charitable foundations and other international institutions. FSN Capital, the investment advisor to the FSN Capital branded funds, has offices in Denmark, Sweden, Norway, and Germany.
