Description of the concentration
WIFRA and Climate Infrastructure Fund S.L.P. are acquiring Series B shares into ZE Energy, active on the market for generation and wholesale supply of electricity, which is currently owned by its Founders (including Ze Way Invest), Marguerite Solar France S.à.r.l, FPCI Demeter 6 Amorçage (the ‘Seller’), Sorégies and High Tech Grunderfonds. Post-transaction, Ze Energy will be jointly controlled by WIFRA, Marguerite Solar France S.à.r.l and Ze Way Invest.
-- WIFRA is a French holding company fully owned by ESR Alba II FCPR and Amundi Seed Alba II FCPR, two investment funds part of the Alba II program, which are managed by Amundi Energy Transition (“AET”), dedicated to direct infrastructure investment with a particular focus on the energy transition and decarbonization sector. AET is a subsidiary of Amundi, itself a subsidiary of Groupe Crédit Agricole (“GCA”), a company specialising in asset management for both institutional and retail clients, covering all asset classes. Amundi is present worldwide.
-- Marguerite is a Luxembourg pan-European infrastructure investor that invests in renewables, energy and transport through 3 funds it manages.
-- Ze Way Invest is a French holding company providing strategic advice to operating companies focusing on the acceleration of energy transition in the low-carbon energy production and electric mobility sectors.
-- Ze Energy is a French independent producer of renewable energy that develops, builds and operates hybrid “photovoltaic + storage” solar power plants.
The acquisition constitutes a concentration under Article 3(1)(b) of the EU Merger Regulation and requires notification to the European Commission under Article 1(3) of the EU Merger Regulation.
