Description of the concentration
The notified transaction concerns the proposed acquisition of sole control, within the meaning of Article 3(1)(b) of Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings, by WT Microelectronics Co., Ltd. ("WT") over Future Electronics Inc. ("FEI"). To this end, WT, FEI, and Alonim Investments Inc. ("Alonim") entered into a Share Purchase Agreement, by which WT will acquire the entire issued share capital of FEI.
The business activities of the undertakings concerned are:
• WT, incorporated in Taiwan and listed on the Taiwan Stock Exchange, is a wholesale distributor of electronic components in Asia, with a focus on semiconductors.
• FEI, incorporated in Canada and controlled by Alonim, is a global wholesale distributor of electronic components, primarily semiconductors and interconnect, passive, and electromechanical components.
