SECTION 1.2

Description of the concentration

TDF S.A.S, France ("TDF") intends to acquire, indirectly through acquisition vehicles, 100% of the shares and thereby sole control of T-Systems Media & Broadcast GmbH, Germany ("TSMB"), an indirect, 100% subsidiary of Deutsche Telekom AG, Germany ("DTAG").

TDF provides over-the-air and wireless services to broadcasters and telecom operators and owns and operates terrestrial infrastructure used for the transmission of TV, radio and telecom signals. In the EEA, TDF is primarily active in France, but also in Monaco, Spain, Finland, Poland, Estonia, the Netherlands and Hungary.

TSMB is active in the provision of analogue and digital TV and radio broadcasting services in Germany and in the provision of satellite/transponder capacity and satellite related services. TSMB does not have any significant activities outside Germany.
