Dear Sir or Madam,
1(1) On 22 October 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation, by which ADNOC Drilling Company P.J.S.C. (‘ADRILL’, United Arab Emirates), controlled by the State-owned entity Abu Dhabi National Oil Company P.J.S.C. (‘ADNOC’, United Arab Emirates), and Alpha Dhabi Holding P.J.S.C. (‘ADH’, United Arab Emirates), will acquire within the meaning of Article 3(1)(b) of the Merger Regulation indirect joint control of the whole of EV Holdings Limited (‘EV’, United Kingdom) by way of purchase of shares. ()
(2) The business activities of the undertakings concerned are the following:
— ADRILL is an onshore and offshore drilling and oilfield service operator, forming part of ADNOC’s integrated network of businesses operating across the value chain,
— ADH is an investment company with holding companies operating in healthcare, renewable energy, petrochemicals, and various other industries, including real estate, construction, and hospitality,

EV is a downhole camera business which provides downhole camera tools, visual analytics, and diagnostics and cased hole data acquisition, data processing, and data delivery services for the oil field services value chain.
3(3) After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraphs 5(b) and 5(d) of the Commission Notice on a simplified treatment for 4certain concentrations under Council Regulation (EC) No 139/2004. ()
(4) For the reasons set out in the Notice on a simplified treatment, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
