SECTION 1.2

Description of the concentration

The notified concentration involves the proposed acquisition of sole control by funds (“Centerbridge Funds”) managed by affiliates of Centerbridge Partners, L.P. (together with such affiliates, “Centerbridge”) of APCOA Parking Holdings GmbH (“APCOA”) (the “Proposed Transaction”).

As a result of the Proposed Transaction, Centerbridge Funds will have sole control of APCOA within the meaning of Article 3(1)(b) of the EU Merger Regulation.

Centerbridge is a private investment firm with offices in New York and London. The firm focuses on private equity and distressed investments. The firm is dedicated to partnering with world-class management teams across targeted industry sectors to help companies achieve their operating and financial objectives.

APCOA is a pan-European provider of car park management services. It is active in 13 European countries and manages approximately 7,500 car parks providing some 1.3 million car parking spaces.
