SECTION 1.2

Description of the concentration

On 18 February 2021, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (“EU Merger Regulation”), concerning the creation by Linde Holdings Netherlands BV, a wholly owned subsidiary of Linde GmbH (Germany), and Sahara International Petrochemical Company (Kingdom of Saudi Arabia), of a joint venture within the meaning of Article 3(4) of the EU Merger Regulation that will be active in the onsite supply of industrial gases in the Kingdom of Saudi Arabia.

Linde GmbH forms part of a multinational group of companies ultimately owned by Linde plc that mainly focus on gases and engineering services.

Sahara International Petrochemical Company is the ultimate parent of a group of companies that is active in the production and marketing of basic and intermediate petrochemical products.
