SECTION 4

Description of the concentration

The notified concentration concerns the acquisition of sole control over FELIT UAB, FE Real Estate UAB, DRD, Paul Mason Properties SIA, Verus Praedium SIA, Runikon Retail Oü, Viljandi Real Estate Oü (together "IKEA Baltics") and their newly-incorporated Dutch holding company (the "NewCo") (the "Target Group"), by Inter IKEA Retail Holding B.V., a wholly-owned subsidiary of Inter IKEA Systems B.V. ("Inter IKEA Systems") (the "Proposed Transaction"). The Proposed Transaction will be accomplished by way of purchase of shares in the (new) Dutch holding company of the Target Group and qualifies as a concentration within the meaning of Article 3(1)(b) of the EUMR.

Inter IKEA Systems is the global IKEA franchisor and is the owner of the intellectual property rights in the IKEA Concept, including the IKEA trademarks.

The Target Group includes several operational and real estate entities in Estonia, Latvia and Lithuania, including the exclusive IKEA franchises in these countries. The Target Group operates a total of eight Customer Meeting Points, of which two are located in Estonia, two in Latvia and four in Lithuania. In each of these countries, the Target Group operates one large IKEA store.
