SECTION 4

Description of the concentration

The notified transaction concerns:

• Duomo TopCo S.r.l. (“Duomo”), an Italian limited liability company controlled by LC10 International AIV, L.P. (“Acquiring Fund”), a fund ultimately managed or advised by an affiliate of L Catterton Management Limited (together with its affiliates “L Catterton”); and

• Kiko S.p.A. (“KIKO”) is an Italian company currently jointly and directly controlled by Sagittarius 75 S.A. (an investment vehicle indirectly wholly owned by Mr. Stefano Percassi) and Itaca S.r.l. (an investment vehicle indirectly wholly owned by Mr. Antonio Percassi).

Duomo acquires, within the meaning of Article 3(1), point (b) of the Merger Regulation sole control over KIKO.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

• L Catterton (US): a consumer-focused investment firm, whose portfolio companies operate in the retail and restaurant business, the food and beverage business, and other consumer service and consumer product businesses including the production and sale of clothing and fashion accessories, cosmetics and fragrance products. L Catterton (through its portfolio companies) operates across the globe but is primarily active in the United States.

• KIKO (IT): an Italian cosmetics company founded in 1997 and headquartered in Bergamo, Italy. KIKO offers a wide range of mass cosmetics (including make-up and make-up-related accessories), skincare, body care, sun care and more recently haircare products and fragrances. KIKO operates across the globe but is primarily active in the EU and, in particular, in Italy.
