SECTION 4

Description of the concentration

(1) This notification concerns the proposed acquisition of sole control by AXA Assicurazioni S.p.A. (“AXA Assicurazioni”), ultimately controlled by AXA S.A. (“AXA”) headquartered in France, over Nobis Compagnia di Assicurazioni S.p.A. (“Nobis”), registered in Italy, currently controlled by Nobis Holding S.p.A. (and ultimately controlled by an Italian individual), within the meaning of Article 3(1)(b) of Council Regulation (EC) 139/2004 (the “EU Merger Regulation”) by way of purchase of shares.

(2) The business activities of the undertakings concerned are:

-− AXA Assicurazioni and its subsidiaries provide a wide range of insurance products and services in Italy. AXA Assicurazioni is an indirect subsidiary of AXA, a global insurance and asset management provider. AXA is also active in the insurance sector in Italy through AXA MPS Assicurazioni Danni S.p.A. and AXA MPS Assicurazioni Vita S.p.A., 50/50 joint-ventures with Banca Monte dei Paschi di Siena SpA as well as through XL Insurance Company, AXA France IARD S.A., AXA France VIE and Interpartner Assistance.

-− Nobis is an insurance company providing life insurance and non-life insurance products active exclusively in Italy.
