SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the “EUMR”). On 2 February 2016, Celulosa Arauco y Constitucion S.A. (“Arauco”) and Sonae Indústria SGPS, SA (“Sonae Indústria”) notified their intention to acquire indirect joint control of Tableros de Fibras S.A. (“Tafisa”) within the meaning of the EUMR.

The areas of activities of the undertakings concerned by the notified concentration are as follows:

(i) Arauco – forestry company headquartered in Chile, active in the production and Management of renewable forest resources, including wood pulp, sawn timber and wood-based boards, and in the production of energy.

(ii) Sonae Indústria – manufacturing and worldwide selling of wood-based boards, other wood-based products, and chemicals. Sonae Indústria is part of a conglomerate group usually referred to as the “Sonae Group,” which is engaged in a number of different economic activities in Portugal and elsewhere in the world.

(iii) Tafisa – A Spanish company currently solely controlled by Sonae Indústria which operates in the manufacture and sale of wood-based boards, other wood-based products, impregnated paper and decorative laminates.
