The Competition DG makes the information provided by the notifying parties in section 1.2 of Form CO available to the public in order to increase transparency. This information has been prepared by the notifying parties under their sole responsibility, and its content in no way prejudges the view the Commission may take of the planned operation. Nor can the Commission be held responsible for any incorrect or misleading information contained therein.
1.1. This notification primarily concerns the integration of Techno Polymer Co., Ltd.'s ("TPC") and UMG ABS, Ltd.'s ("UMG") resin businesses. The parties concerned are JSR Corporation ("JSR"), TPC's parent company, and Ube Industries, Ltd, ("Ube") as well as Mitsubishi Chemical Corporation ("MCC"). UMG is equally owned and jointly controlled by Ube and MCC.
2.2. JSR, Ube and MCC intend to transform TPC into a joint venture between JSR and UMG. Both, TPC and UMG, are suppliers of different kinds of resins and alloys.
3.3. JSR is a chemical manufacturer listed on the Tokyo Stock Exchange. JSR’s two core businesses are petrochemical products and fine chemical materials. Ube operates in five main business segments: chemicals, pharmaceuticals, cement and construction materials, machinery, and energy and environment. MCC, which belongs to Mitsubishi Chemical Holdings Corporation, manufactures chemicals, plastics, and fibers.
