SECTION 1.2

Description of the concentration

1.On 26 August 2011, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No.139/2004, by which Cheung Kong (Holdings) Limited (CKH) will acquire control of Northumbrian Water Group plc (NWG) within the meaning of Article 3(1)(b) of Council Regulation (EC) No. 139/2004 by way of a scheme of arrangement.

2.The notifying parties consider that the proposed concentration raises no competition issues and does not lead to horizontal overlaps or vertical relationships giving rise to any reportable markets.

The business activities of the undertakings concerned are as follows:

CKH is a Hong Kong incorporated company. The principal activities of CKH group are

investment holding, property development and investment, hotel and serviced suite operation,

property and project management and investment in securities.

NWG is primarily active in the provision of water and sewerage services in the North East of

England and parts of the South East of England, in which it is the regulated provider of water

and waste water services under the Water Industry Act 1991.
