SECTION 1.2

Description of the concentration

The Commission has received notification pursuant to Article 4 of the Merger Regulation, of a transaction by which SYNNEX Corporation ("SYNNEX") will merge its activities with those of Tech Data Corporation ("Tech Data"), with SYNNEX surviving such merger. Such transaction constitutes according to the notifying parties a concentration within the meaning of Article 3(1)(a) and Article 3(1)(b) of the Merger Regulation.

SYNNEX is a publicly traded company headquartered in Fremont, California, USA. It is a provider of technology products and solutions for IT systems to resellers and retail customers in numerous countries outside the EU. SYNNEX also provides comprehensive logistics, distribution, systems design, and integration services for the technology industry. In the EU, SYNNEX is only active in the development and sale of custom- made servers and storage solutions for datacenters users.

Tech Data is a privately held company headquartered in Clearwater, Florida, USA and is active globally in the wholesale distribution of technology products and solutions to resellers.
