SECTION 1.2

Description of the concentration

On 30 June 2010, the European Commission received a notification of a proposed concentration

pursuant to Article 4 of Council Regulation (EC) No. 139/2004, by which Montagu Private Equity LLP

(“Montagu”) and Global Infrastructure Partners – A1, L.P., Global Infrastructure Partners – B, L.P. and

Global Infrastructure Partners – C, L.P. (together “GIP”) will acquire joint control over Greenstar

Holdings Ltd (“Greenstar”), a company incorporated in England and Wales, and its subsidiaries.

The business activities of the undertakings concerned are respectively:

1. Montagu: private equity investment;

2. GIP:

infrastructure investment; and

3. Greenstar: waste management.

The proposed concentration is subject to the fulfilment of certain conditions precedent, one of which is

the obtaining by the parties of the prior clearance of the proposed concentration from the European

Commission.
