SECTION 1.2

Description of the concentration

China Huaxin Post and Telecom Technologies Co., Ltd ("Huaxin"), an entity incorporated in the People's Republic of China, excluding Hong Kong, Taiwan and Macau (the "PRC"), and Juniper Networks International B.V. ("Juniper"), an entity incorporated in the Netherlands, will establish a joint venture (the "JV") operating exclusively in the PRC.

The purpose of the JV is to sell network switches, network routers and network security products in the PRC (only) to meet the local market demand in the PRC. The JV will also create an independent research and development team and a product line management team to develop new products and solutions to meet local PRC market demand. The scope of the business of the JV shall therefore concern the research, development, sale, marketing, manufacturing, distribution and services of network switches, network routers, and network security products in the PRC (only).
