Description of the concentration

On 8 October 2024, the Commission received notification concerning the proposed acquisition by funds managed by OEP Capital Advisors, L.P. (collectively “OEP”) of sole control within the meaning of Article 3(1)(b) of the Merger Regulation of Comau S.p.A. (“Comau”), a wholly owned subsidiary of Stellantis N.V. (“Stellantis”) (the “Transaction”). At closing of the Transaction, Comau will be solely controlled by funds managed by OEP, with Stellantis retaining a non-controlling minority interest.

-• OEP is a middle-market private equity firm focused on transformative combinations within the industrial, healthcare and technology sectors in North America and Europe. It was founded in 2001, spun out of JP Morgan in 2015. Since its foundation, it has completed more than 150 transactions worldwide and manages assets for approximately USD 10 billion. OEP has its main offices at 510 Madison Avenue, New York, USA, and has further offices in Chicago, Frankfurt and Amsterdam.
