SECTION 1.2

Description of the concentration

On 17 June 2016, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004. The transaction consists of the creation of a full-function joint venture in the area of security services by affiliates of Warburg Pincus, a global private equity firm headquartered in New York, United States, (“Warburg Pincus”) and Wendel SE, a French investment firm headquartered in Paris, France (“Wendel”). The proposed concentration will be effected through the merger of the following businesses into a newly created company constituting a joint venture:

• Universal Services of America, a portfolio company held by affiliates of Warburg Pincus, and

• AlliedBarton Security Services, a portfolio company held by affiliates of Wendel.

The joint venture will be called AlliedUniversal Security Services LLC and will be controlled jointly by affiliates of Warburg Pincus and Wendel.
