By virtue of the notified transaction, Gränges AB (publ) (”Gränges”) intends to acquire sole control of Impexmetal S.A. (”Impexmetal”) within the meaning of Article 3(1)(b) of the EU Merger Regulation (the “Transaction”).
Impexmetal is through the division Aluminium Konin active in rolled aluminium operations as a manufacturer of aluminium flat rolled products and is a supplier to distributors, the automotive industry, closure manufacturers, and companies within electronics. These operations are carried out at the company’s production facility in Konin, Poland. Apart from aluminium, Impexmetal is active within copper, brass, lead and zinc. However, an in internal restructuring will take place between the signing of the share purchase agreement and the closing date so that only the Aluminium Konin business will remain in Impexmetal when the Transaction is closed. No later than on the closing date of the Transaction all the shares of the Target will be held by entities controlled by Boryszew Spółka Akcyjna.
