Description of the concentration
1. The concentration consists in the indirect acquisition of sole control of Saint-Gobain Building Distribution Deutschland GmbH (“SGBDD”) by Stark Group Holding Germany GmbH, owned by certain Lone Star funds. SGBDD is a construction material distributor in Germany and is mainly active in the B2B business with only minor DIY sales. Lone Star is a private equity firm that invests globally in real estate, equity, credit and other financial assets.
